Victory Capital Holdings, Inc. has entered into a Contribution Agreement with Amundi Asset Management S.A.S and Amundi S.A., pursuant to which Seller will contribute all shares of Amundi Holdings US, Inc. to the Company in exchange for newly issued shares of Common Stock and Preferred Stock.
