Research Solutions, Inc. entered into a Cooperation Agreement with Peter Derycz and Bristol Investment Fund, Ltd., resulting in the termination of Mr. Derycz's employment and resignation from the Board of Directors. The Investor Group withdrew its notice of intent to nominate candidates for election to the Board and agreed to vote all shares of Common Stock in accordance with the Board's recommendations.
