Integrated Wellness Acquisition Corp. has entered into a Merger Agreement with Refreshing USA, LLC, in which IWAC will transfer to become a Delaware corporation, and Refreshing will merge with and become a subsidiary of Pubco, with consideration of $160 million in newly-issued shares of Pubco Common Stock.
