Windtree Therapeutics Inc entered into an Asset Purchase Agreement with Varian Biopharmaceuticals, purchasing all assets of Varian's business associated with a Licence Agreement, and issued shares of Series B Preferred Stock and agreed to milestone payments; also entered into a Securities Purchase Agreement for the sale of senior convertible notes; and filed a Certificate of Designation for the Series B Preferred Stock.
